Terms of Service

These Terms of Service (“Terms”) govern your use of the UGOFX Signal Intelligence Platform and any related services (the “Service”) provided by UGOFX Trading Ltd (“UGOFX”, “we”, “us”, or “our”), a company registered in England and Wales under company number 14350765 with its registered office at [REGISTERED OFFICE ADDRESS — TO BE ADDED].

By submitting an application for, subscribing to, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not apply for or use the Service.

1. What the Service is

The UGOFX Signal Intelligence Platform is a software product. It consists of a Subscriber Expert Advisor (“Subscriber EA”) that you install on your own MetaTrader 5 (“MT5”) trading terminal, together with access to a live signal feed broadcast from a proprietary trading account (“the master account”) operated by UGOFX.

When the Subscriber EA receives a signal, it can — depending on the settings you choose — automatically place trades on your MT5 account, present you with an alert for manual confirmation, or take no action. You configure all risk parameters, including lot size, maximum drawdown, which currency pairs to follow, and execution mode.

2. What the Service is not

The Service is a software product only. It is not, and must not be treated as:

  • Investment advice, financial advice, or a recommendation to buy, sell, or hold any financial instrument.
  • A managed account service or any form of portfolio management.
  • A fund, collective investment scheme, or pooled investment vehicle.
  • A brokerage service or custody service.

UGOFX does not hold your funds, does not have access to your MT5 account, does not receive any share of your trading profits, and has no discretion over your trading decisions. Your broker relationship, your capital, your trades, and your outcomes are entirely your responsibility.

3. Eligibility

To apply for and use the Service, you must:

  • Be at least 18 years old.
  • Not be a resident, citizen, or tax resident of the United States, United Kingdom, the European Economic Area, Canada, Australia, Singapore, Hong Kong, Japan, or any jurisdiction where use of the Service would be unlawful or would require UGOFX to be registered or authorised.
  • Not be subject to any sanctions administered by the United Kingdom, the United States Office of Foreign Assets Control, the European Union, or the United Nations.
  • Have approached UGOFX on your own initiative. UGOFX does not solicit subscribers in any jurisdiction.
  • Fund your trading account from lawful sources.
  • Have an MT5 account with a broker of your own choosing that meets the minimum capital requirement set by UGOFX from time to time (currently USD 100,000).

UGOFX may refuse any application at its sole discretion without giving reasons. Acceptance into the Service is by invitation only.

4. Licence

Subject to your payment of the subscription fee and continued compliance with these Terms, UGOFX grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Subscriber EA on the MT5 account number you disclosed in your application.

You may not: (a) share, resell, sublicense, or redistribute the Subscriber EA or any signal feed; (b) reverse-engineer, decompile, or attempt to extract the source code; (c) use the Subscriber EA on any MT5 account other than the account you disclosed; (d) use the Service for or on behalf of any third party; or (e) use the Service in connection with any collective investment scheme, managed account service, or pooled arrangement.

All intellectual property in the Subscriber EA, the signal feed, the master account data, and the UGOFX brand remains the exclusive property of UGOFX Trading Ltd.

5. Subscription and payment

The subscription fee is USD 1,000 per month, payable in USDT (Tether) to the wallet address provided to you on approval of your application. Fees are due in advance of each monthly period.

Subscriptions automatically continue from month to month unless cancelled. You may cancel at any time by giving written notice to UGOFX at least seven (7) days before the start of the next billing period. Cancellation takes effect at the end of the current paid period.

All fees are non-refundable once paid, except where required by applicable law. If payment is not received by the due date, UGOFX may suspend or terminate your access to the Service without notice.

UGOFX reserves the right to change subscription fees with at least 30 days’ written notice. Your continued use of the Service following a fee change constitutes acceptance of the new fee.

6. Risk warning

Trading foreign exchange and contracts for differences carries a high level of risk and may not be suitable for all investors. You may lose some or all of your invested capital. Past performance of the UGOFX master account does not guarantee, indicate, or predict future results. Your results will differ from the master account and may be materially worse.

You are solely responsible for evaluating whether the Service is suitable for you and for any losses incurred on your trading account.

7. No investment advice

Nothing UGOFX publishes, broadcasts, sends, or communicates — whether through the signal feed, the Subscriber EA, the website, email, video, or any other medium — is investment advice or a recommendation to take any particular action. All content is for informational and technical purposes only. You should seek independent professional advice before making any financial decision.

8. Your responsibilities

You are responsible for:

  • Your choice of MT5 broker and the terms of your broker relationship.
  • Funding, maintaining, and monitoring your own trading account.
  • Configuring the Subscriber EA, including all risk parameters and execution modes.
  • The accuracy and legality of all information you provide to UGOFX.
  • Complying with all laws, tax obligations, and regulatory requirements applicable to you in your own jurisdiction.
  • Keeping your licence key, Subscriber EA files, and UGOFX communications confidential.

9. Warranties and limitations of liability

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, UGOFX disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.

UGOFX does not warrant that the signal feed, Subscriber EA, or any related service will be free from errors, delays, outages, or interruptions, or that any signal will be delivered, executed, or profitable.

To the maximum extent permitted by law, UGOFX, its directors, employees, and contractors shall not be liable for any loss of profit, loss of capital, loss of opportunity, loss of data, or any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Service, even if UGOFX has been advised of the possibility of such damages.

UGOFX’s aggregate liability to you under or in connection with these Terms, in any twelve-month period, shall not exceed the total subscription fees you have paid to UGOFX in that period.

Nothing in these Terms limits any liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

10. Indemnity

You agree to indemnify and hold harmless UGOFX, its directors, employees, and contractors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of the Service; (c) your trading activity; (d) any false or misleading statement in your application; or (e) any claim that your use of the Service violates any law or third-party right.

11. Termination

UGOFX may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You breach these Terms.
  • You fail to pay any subscription fee when due.
  • UGOFX reasonably suspects fraud, money laundering, sanctions breach, or misuse of the Service.
  • You become resident in or a tax resident of an excluded jurisdiction after subscribing.
  • UGOFX is required by law, regulation, or court order to do so.
  • UGOFX decides, for any reason, to cease offering the Service generally or to you specifically.

You may cancel your subscription at any time as provided in Section 5. On termination for any reason, your licence to use the Subscriber EA ends immediately and you must remove it from your MT5 terminal.

12. Data protection

UGOFX processes your personal data in accordance with its Privacy Policy, which forms part of these Terms.

13. Changes to these Terms

UGOFX may update these Terms from time to time. Material changes will be notified to you by email and will also be posted on the UGOFX website. The updated Terms take effect on the date stated. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

14. Entire agreement

These Terms, together with the Privacy Policy and any subscriber agreement you sign on onboarding, constitute the entire agreement between you and UGOFX relating to the Service. They supersede all prior communications, proposals, or agreements, whether oral or written.

15. Assignment

You may not assign, transfer, or sublicense any of your rights under these Terms without the prior written consent of UGOFX. UGOFX may assign its rights and obligations under these Terms without restriction.

16. Severability

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

17. No waiver

Any failure or delay by UGOFX to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

18. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. You and UGOFX submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any such dispute.
